What level of risk are you comfortable with?\nAre you interested in investing in an established cryptocurrency or token, or are you willing to take a greater risk in investment?\n\nThe main difference between buying an ICO token and buying an exchange token is the level of risk involved. With greater risks come greater rewards. However, in many cases, the risks are quite significant.\n\nIf you buy a cryptocurrency or token which is already circulating on one or more exchanges, there is already trade volume, meaning that investors are regularly buying and selling the token. If you invest in an ICO, there is no guarantee that the project will be completed and that the token will hit exchanges. This could be for a number of reasons, including the collapse of the initial project, an ‘exit scam’—i.e. when a fraudulent project has collected your tokens and then disappears—or, there could be significant delays in project development, which result in the token taking much longer than expected to be listed on exchanges.\n\nIf you are more comfortable investing in established cryptocurrencies, it may be best to focus on Bitcoin, Ethereum, Litecoin, NEO and other top cryptocurrencies, as well as established ERC-20 or ERC-223 tokens. If you are interested in a much higher potential return, but with a much greater risk, then you can consider investing in an ICO.\n\n2. Are you a value investor or do you want to turn a quick profit?\n\nThere are several types of investors. This represents a drop from 12.5 to 6.25 BTC per block in May 2020.\n\nBitcoin halving as a fixed event usually occurs after every 210,000 blocks are mined or confirmed on the blockchain and as expected, questions are rife to what effect this reduction will have on the price of Bitcoin.\n\nFrom expert analysis and in line with historical trends of the previous Bitcoin halvings which occur every four years, 2012 and 2016 respectively; have recorded significant bull runs or high increase in Bitcoin price. However this price increase has not been ultimately specified as a post effect of the block reward reduction.\n\nA year after the 2012 halving, Bitcoin price rose to $1000 per coin in November and at that time stood as Bitcoin’s all time high. This is otherwise known as “passive investing.”\n\n1) Exchange Token that Pays Dividends\n\nThe first way to earn money back is to invest in an Exchange Token; these tokens pay differing amounts of dividends to investors. If a trader uses the exchange token to pay trading fees, the trading fees are reduced. Examples of exchange-owned utility tokens are Kucoin Shares (KCS), Huobi Token (HT) and Binance Token (BNB). Let’s look at the Huobi Token as an example. Huobi has five tiers of VIP services, which allow members to enjoy a certain percentage of discounted fees. For example, if you purchase the third tier VIP “package,” you pay 1200 HT per month for a 30% transaction fee discount. This subscription service aims to save Huobi investors more money the more they use the coin, acting as a form of a dividend.\n\n2) Tokenized Crypto Fund that Pays Dividends\n\nTokenized crypto funds are an easy form of passive investment strategy, as these funds are committed to distributing dividends to their investors. This works by having you hold the fund’s native token, for which you can receive dividends from the tokenized fund itself. Depending on the nature of each fund, token dividend payouts are not always sure-fire as they are subject to changes at the discretion of the issuer. An example of a tokenized fund is the Taas Fund. Based on the fund’s performance over 90 days, the Taas Fund pays a quarterly dividend to each investor. If the fund loses money, you won’t receive any dividend. But if it posts positive returns for the quarter, the Taas Fund pays out 25% of those profits on a pro-rata basis to token holders.\n\n3) HODL (Holding On for Dear Life)\n\nHODL’ing  – or “holding on for dear life” – is a fancy term that that refers to holding onto digital assets for the long run. As a crypto fund manager, I have learned that this strategy is the smartest investing strategy a trader can utilize. It is easy to become tempted by riskier altcoins due to the volatile nature of the crypto markets, but as Bitcoin’s historical price movements show, holding on to your tokens can be highly profitable. If we look at the history of Bitcoin’s large-scale price corrections, BTC has risen from each of the eight crashes to attain a new record high price (excluding the 2018 crash that it is still recovering from). Numbers do not lie, and holding on to your currency is the most straightforward and easy way to earn money regularly.\n\nThese three passive investment strategies offer a quick glimpse into the myriad of investment techniques that can be used to make money in the digital markets. It’s one of the big questions to dominate the ICO market in 2018, especially for any company based in the US. In a recent interview with CNBC, SEC Chairman Jay Clayton was utterly emphatic on the subject: “If it’s a security we are regulating it,” he explained, “A token, a digital asset, where I give you my money and you go off and make a venture, and in return for giving you my money [you] say ‘you can get a return’ — that is a security.”\n\nUnder that broad definition almost all ICOs conducted in the US fall under the securities umbrella. With the SEC clearly setting out its position, companies are confronted with the fact that the only safe path is within the regulatory framework. That established, now is a good time to look at some of the companies already attempting to play within the rules and conduct an SEC-compliant STO. Specifically we’ll look at those firms which are filing or intend to file under Reg A+ which means that non-accredited investors can participate.\n\nGab\nThe free speech frog is probably one of the highest profile companies to announce a compliant token offering. Gab hope to raise $10 million with CEO Andrew Torba clear on their plans. On Gab’s Startengine page he states: “Our goal is to offer one of the first fully compliant Regulation A+ STO’s with American funding laws.”\n\nThe Gab social network must still plow a difficult furrow, blocked from both Google and Apple stores, but Torba remains defiant of what he views as clear censorship from the internet giants. “Our pursuit is noble, and in the tradition of American Free speech standards.”\n\nIt remains to be seen what impact a mere $10 million will have on their attempts to take on Twitter, Facebook and other more established social networks, but free speech advocates will be certainly be interested in how this story progresses.\n\nKnowbella Tech\nKnowbella Tech is a Cincinnati-based company leveraging blockchain technology to create a platform for open science and scientific collaboration. Their mission is to connect global researchers to the $4 trillion of idle intellectual property and knowledge languishing in institutions, universities and companies across the globe. The company aims to raise a cool $50 million through their STO which, for the moment, is the current funding cap for Reg A+ compliance.\n\nAs described by CEO Mark Pohlkamp, completing the regulatory groundwork for an STO is “longer, more expensive, time-consuming and painful,” than an ICO, but the return in investor confidence and safety more than makes the effort worthwhile. With Knowbella Tech one of the first companies to file under Reg A+ rather than Reg D, crypto investors will watch this space with interest to see how this trailblazer fares through the SEC process.\n\nRideCoin\nRideCoin is a blockchain alternative to Uber and Lift and market themselves as the next step in the disruption of the taxi marketplace. RideCoin promise to cut out the middleman, allowing drivers to work for themselves and passengers to pay less. It’s essentially a taxi bounty system where those in a rush offer more money for faster service, and those in not so much of a hurry can offer less.\n\nRideCoin is one of a growing number of STOs hosted on the Startengine platform. They plan to issue two tokens, one a security and the other a utility, with the security token being SEC compliant. As RideCoin CEO Jimmy Gorham states, “Raising funds to launch a project via ICO is an investment contract, and ought to be monitored by the government. I believe in this authority, and agree with the classification.”\n\ndexFreight\ndexFreight are a business to business marketplace for domestic and international shippers, freight forwarders, and carriers. The worldwide logistic industry in which they will compete is an absolute behemoth, and there have already been a number of ICOs to attempt to tackle it. Where dexFreight differ to their competition is in the fact that they are the first logistics firm to pursue Reg A+ compliance.\n\nAs a transport company dexFreight understands the importance of reaching their destination in timely fashion. In the words of CEO Rajat Rajbhandari, “dexFreight looks forward to completing one of the earliest STOs under Reg A+ and being a model for other companies to follow.”\n\nBy 2023 the worldwide logistics industry is estimated to be worth $15 trillion, so the open-source dexFreight platform could be a highly profitable proposition, especially if it can be the first to arrive.\n\nMandala\nMandala is a digital asset exchange based in the Cayman Islands which plans to use two different arrangements: Reg A+ and Reg S. The first will be Reg S which is a “safe harbor” exemption, only available to firms outside America. In tandem with Reg S fundraising, the company also seeks to file under Reg A+ allowing it to seek investment from America. Mandala will therefore prove to be an interesting test case for Reg A+ since the company is in another jurisdiction and because their token offering will already be well underway by the time the SEC considers their Reg A+ filing.\n\nWith securitized tokens still in their infancy, the fate of these test cases will likely dictate what happens to future STOs and have repercussions that will be felt throughout the crypto space. For that reason these five pioneers are certain to capture the attention of crypto investors, like-minded companies and anyone else involved in blockchain.
